The Governance Team ensures that ongoing statutory, legal and transactional/contractual obligations are fulfilled in respect of approx. 600 UK registered companies.
The Team Leader will develop and manage the Governance Services team (the "Team") and its performance to ensure delivery of a consistently high quality service provision by experienced, qualified, trained, highly knowledgeable and client-focused compliance managers and assistants. They will act as the communication point for sharing and disseminating information and tasks among the Team and between the Team, management and other teams.
The Team Leader will also be responsible for managing, monitoring and actioning the governance and corporate services obligations of their individual portfolio of SPV's (typically between 50-120 SPV's). In addition, the team liaises with the overseas offices and maintains the corporate database entries, and handles registered office and usual corporate administration duties as a back-up team.
The candidate, a qualified chartered secretary, will have good experience in providing excellent client service in the face of tight deadlines, achieved either in a trust company, professional practice or large secretariat. As a team of qualified professionals report to this role, a proven record in successful team management is imperative.
-Arrange and manage the recruitment, induction and training of Team members
-Develop the Team and its individual members, including identifying appropriate training and resources to improve service provision by the Team; Motivate, guide, and support the Team members, providing high quality, up-to-date information and support
-Work closely with Team members to solve issues and problems and ensure the continuous high quality and timeliness of service provision
-Contribute to the setting up of Team members' objectives and to the performance appraisal process of Team members; report on Team performance as required
-Contribute to the development of the services provided by the Team by advising management of areas of particular need, new opportunities and legal or regulatory developments; make recommendations and offer suggestions and solutions for improvements to services; Identify and recommend procedural improvements to ensure best practices in governance management
-Taking responsibility for complex transactions/SPVs and relationships, occasionally for a more complex and/or larger portfolio of transactions / SPVs
-Managing, monitoring and actioning of statutory and transaction obligations
-Setting-up, reviewing and re-arranging Company Statutory Registers and updating be-spoke database records for critical dates, procedures and contact details;
-Liaising with external/internal parties to ensure fulfilling all statutory and transaction obligations of managed SPVs, to ensure ongoing compliance.
-Managing the winding-up and liquidation of SPVs
-Taking responsibility for maintaining key client relationships, in conjunction with management and BD
-Maintain and improve standards, set an example for other team members by always observing procedures, ensuring systems up to date etc.
-Consider at all times the "Money Laundering" and "Know Your Clients" issues and report any concerns to the Compliance Team
-Conducting periodic file reviews under internal compliance procedures
-Proactively keep up to date with current industry issues
SKILLS / EXPERIENCE
The candidate will need to demonstrate the desire to provide excellent client service in the face of conflicting demands and tight reporting deadlines.
*Time management, organisational ability, diligence & accuracy and the ability to manage a demanding workload
*Previous relevant experience in administering and providing company secretarial management to U.K. legal entities
*People management skills, with proven experience in staff development
*Strong communication and interpersonal skills
*Desire to continuously improve and streamline processes to make a meaningful contribution to the company's performance.
