Job Description

This FTSE 250 operator of branded food and beverage outlets is a leading operator of branded food and beverage outlets in travel locations globally.

Based in the London headquarters, and working alongside a small team of highly trained and experienced lawyers this role will involve liaising with a wide range of stakeholders (including senior management) and so the ability to successfully communicate implications and recommendations is key.

This is a broad ranging cosec role, and key responsibilities will include:
*Acting as the Cosec team lead on the Annual Report process as well as having responsibility for the preparation of the governance and cosec related sections of the Annual Report
*Advising on the AGM process (including interaction with proxy advisors)
*Advising on Listing Rules, DTRs, Companies Act compliance and other corporate governance issues
*Liaising with the Company's registrar, share scheme provider and offshore trust administrator
*Leading the company secretarial aspects of employee share schemes. Covering; grants, vestings, exercises, block listings, communications and MAR compliance
*Review and verification of public presentations and announcements
*Advising on cosec elements of internal re-organisations including internal transfers and re-capitalisations across the UK and internationally
*Preparing papers and minutes for Group Board, Committees and subsidiaries as requested by the General Counsel/Group Legal Director
*Compliance matters including anti-bribery and corruption
*Day-to-day oversight of a Company Secretarial Assistant, including providing guidance and supervision on the following:
oadministration of board and subsidiary committees including preparation of papers and minutes and agenda planning
osubsidiary governance and management including statutory accounts preparation
opreparation of regulatory announcements

Required Experience:
*Qualified chartered secretary (or about to qualify)/solicitor, with good working knowledge of the Companies Act 2006. Listing Rules and the UK Corporate Governance Code
*Experience in Board IQ (or equivalent) and blueprint
*Experience of maintaining the company's statutory registers or books
*Experience of working within a UK listed company of substantial size and complexity
*Good interpersonal, written and verbal communication skills with the ability to communicate at all levels and between different cultures
*Moderate to advanced Excel skills
