Job Description

This prestigious main market listed organisation seek a Senior Assistant Company Secretary.

The Company Secretariat team, made up of five people) is responsible for handling all corporate governance matters and regulatory obligations affecting plc and its subsidiary and joint venture companies globally.


Seeking a qualified chartered secretary to join the team to provide an efficient and high-quality company secretarial service to the Group. Specifically:

Responsibility for the management of the relationship with the registrars and through them the relationship with shareholders relating to the payment of dividends and organisation of the plc general meetings.
Acting as Secretary to Ethics Committees
Responsibility for the drafting of relevant sections of the Group plc Annual Report, AGM notice, Form of Proxy and ancillary shareholder documents.
Ensuring compliance with all aspects of the Market Abuse Regulation, including managing insider processes, insider lists, in the know lists, closed periods and PDMR dealings
Providing joint venture and subsidiary governance support, including co-ordinating and ensuring provision of services to EMEIA group companies through liaison with local lawyers/Co Sec agents and internal corporate functions.
Oversight of subsidiary restructuring projects.
Liaising with the Reward & Recognition team on the Group's all employee share schemes, managing the allotment of shares and liaising with the employee benefit trusts and managing executive share grants
Drafting and releasing Stock Exchange Announcements
Ensuring compliance with the requirements of Companies Act and UK Listing Rules
Management of one Company Secretarial Assistant


ACIS qualified individual with listed company experience - ideally 8+ years (minimum of 5 year's PQE in a UK listed company environment)
In depth knowledge of Companies Act and UK Listing Rules, in the context of both plc and subsidiary accounts approval, director and shareholder meeting process, director share dealings.
International subsidiary governance experience
Share schemes administration experience
Working knowledge of Blueprint OneWorld
Previous experience managing a Company Secretarial Assistant
An organised, adaptable and commercial attitude;
Attention to detail and good drafting skills;
A demonstrated ability to influence stakeholders and communicate at all levels;
A demonstrated ability to develop and maintain key relationships, working as part of a cross-functional team, ideally within a global organisation;
