My client is recruiting for a standalone Deputy to manage the Group's main operating subsidiaries throughout Europe. Reporting in to the General Counsel and working closely with the legal function.
Purpose of the Job:
Acts as a point of contact for all company secretariat matters within the region and is responsible for promoting a consistent and high standard of governance. The role works closely with the Legal Department, the local Finance, Controllership and Tax teams across the Business Units, the Board Directors, their Executive PAs, and the Group Legal team in Europe.
Disciplined record keeping, documentation and organization are essential together with managing and developing 'fit-for-purpose' efficient processes and practices.
Maintain the company secretarial governance, registers, and records for approximately 60+ entities located in the region, including the main operational entities, joint ventures, acquired business entities and legacy companies.
Workload management to meet internal and external deadlines - often time-critical
The Company Secretariat function acts as a key advisor and supports the planning and execution of Group transactions involving entities within the region, including mergers and acquisitions, dividend approvals and payments, capital changes, other intra-group restructurings and financing transactions.
Supports operational efficiency (for example, any entity rationalization programme(s) with Finance to drive a more efficient corporate structure
Provide a single point of governance contact and maintain effective relationships with the senior management of the various region businesses (including but not limited to the Regional Chair, Regional CFO, and segment / Business CEOs and CFOs);
Accurate and up-to-date company data, books, registers and records
Timely production of minutes, resolutions and filings to comply with internal and external deadlines
Provide effective support, advice and guidance and working to achieve 'trusted advisor' status.
Maintain open and transparent relationships with the members of other central functions, particularly Legal, Compliance and Risk, Tax, Treasury, Finance and HR
Company Secretary or Solicitor with significant company secretarial experience.
Autonomous, with the ability to adapt to new environments.
Recent practical experience of delivering company secretarial services in a multi-national organisation
Experience in operating in a complex and diverse business under time pressures.
Aptitude for leadership and experience in delivering effective company secretarial governance.
A confident approach with a firm focus on achieving efficient and company secretarial practices.
Good communication across teams / countries
Excellent organizational skills
Ability to work with and influence staff at all levels, across business segments and functions.
Excellent planning, scheduling, and coordination skills.
Aptitude for problem solving and managing projects with stretching delivery deadlines.
Company secretarial professional qualification (ICAS or similar)
