Interim Deputy Company Secretary

10month FTC - starting September
To £90,000

An impressive and historic NFP seek an interim Deputy Company Secretary to join their team on a 10-month maternity cover. This will include a handover and take over a broad role inclusive of board and committee management, leading project work, managing a CSA and being an integral part of a board evolution towards the end of the year.

The Role:

Responsible for leading and ensuring high-quality administration and operation of Board and Committee processes and meetings. Including liaising with the Chairman and Chief Executive in preparation for meetings.
Responsible for advising and supporting the business on general governance matters in line with best practice governance standards.
Review and propose updates as required to the Board and Committee Terms of Reference on at least an annual basis.
Manage, supervise and provide training as required to the full-time Secretariat Assistant.
Overall responsibility for managing the twice-yearly declarations of interest processes for the Board and the business.
With the Head of Legal and Company Secretary play a key role in ensuring that the highest standards of Corporate Governance are promoted and maintained.
Ensure compliance with relevant statutory and regulatory company secretarial and governance requirements.
Work with the Head of Legal and Company Secretary to onboard and induct new Board Commissioners and Counsellors.
Lead on and maintain an up to date Governance Framework with the Head of Legal and Company Secretary.
Lead in the preparation and creation of the Governance section of the Annual Report


Corporate Governance professional
Substantial experience in preparing Board and Committee packs, including using Diligent.
Line management experience.
Experience in line management
A high level of organisational rigour and content quality assurance, including attention to detail.
High standards of minute taking and written content.
