Job Description

Role Purpose

Provision of Company Secretarial service to the Group, ensuring that all Group Boards receive the support and advice necessary for them to discharge their duties. Working closely with newly appointed Company Secretary on all matters relating to Group company secretarial work, including the maintenance of the Group statutory company records, managing the annual compliance calendar, and supporting on corporate projects.

Key Responsibilities
* Providing meeting support for Board and its Committees * Monitoring changes in relevant legislation, the regulatory environment , best practice and governance developments, making recommendations and take appropriate action
* Liaising with external service providers including lawyers, auditors, PR and registrars as required
* Maintenance of Company Secretariat records using both physical and electronic filing systems
* Supporting the production and approval of the Group and subsidiary Annual Report and Accounts
* Providing secretariat support for annual calendar, corporate transactions and projects as required
* Support Company Secretary in maintaining and enhancing service delivery to business

Qualification and Educational Requirements
Fully ICSA qualified
Specialist Skills and Experience Required
* Excellent understanding of the Listing Rules, QCA Code of corporate governance, UK Companies Act and recent UK Corporate Governance reforms * Good detailed knowledge of Blueprint or other or on another global entity
* Excellent communication skills at all levels and confidence to be able to respond clearly to questions and queries from various stakeholders.
* Interpersonal skills and the ability to work well with people at all levels * Attention to detail and a well organised approach to work
* The ability to prioritise and work well under pressure * The capability to work with numerical information, plus analytical and problem-solving skills
* A diplomatic approach and the confidence to provide support to board members
* Integrity and discretion when handling confidential information
* A strong grasp of corporate governance issues
* A commercial frame of mind
