Job Description

Top ranked City Law firm seek a qualified Company Secretary for a 12 month period.

The Role:

The role involves working closely with the Corporate team and senior members of the firm to provide a seamless service to the client. The main duties and responsibilities are as follows:

*Mentoring, training and managing a small team of Company Secretarial Assistants and a Company Secretarial Administrator.
*Overseeing the development and maintenance of Blueprint and other corporate systems
*Managing a large portfolio of clients, and providing them a service which requires liaising with them throughout the year.
*Delivering a full company secretarial service to the board, committees and subsidiaries ensuring compliance with statutory and regulatory requirements and best practice standards, i.e. annual returns, board minutes, acting as a registered office etc
*Company formations (with focus on Corporate and Real Estate)
*Specific projects as and when requested (i.e. recreating company books).
*Managing the operation of a corporate governance framework that ensures the company and its officers comply with the requirements of the UK Corporate Governance Code and the Companies Act 2006 together with other applicable law, regulation and codes of practice both in the UK and other relevant markets.
*Acting as a senior source of expertise to provide advice to senior stakeholders, providing guidance on governance and risk management and managing the share incentive arrangement as well as the core company secretary responsibilities.

Personal Skills:
*Ideally legal or professional services experience

*ICSA Chartered Secretary Qualified

*Excellent team management and motivational skills

*Able to establish rapport and build internal relationships

*Analyse, problem solve and present to senior members of the group

*Excellent technical knowledge, the ability to apply this practically and commercially and consult other experts when necessary

*Ability to manage projects, detailed knowledge of company law relating to public and listed companies and have a track record of taking ownership and responsibility.

*PLC experience is essential

*Proactive team player, able to use initiative and work efficiently under pressure.

*Ability to draft accurate company resolutions and other corporate transactions.

*Highly motivated individual who will be able to deal effectively with conflicting requirements

*Excellent organisational skills

*High degree of accuracy and attention to detail
