Job Description

Superb opportunity exists within this FTSE 100 organisation. This role will be offered for a 12 month fixed term period.

As Company Secretarial Assistant you will support the team in the delivery of a first class company secretarial service. You will assist in ensuring compliance with all legal, regulatory and shareholder requirements relevant to the company and promote good practice throughout the organisation and will support the Senior Assistant Company Secretary in ensuring that corporate and governance conduct is of the highest standard. The role is broad in scope and will include:

Ensuring that the statutory records for the group are kept up to date - drafting and submission of forms and returns to the Registrar of Companies, assisting with AGM filings and organisation, filing FCA notifications, assisting with updating the corporate website as necessary

Share schemes; assist the team with admin arising out of share scheme grants, vestings or exercises, assist legal with settlement agreements re share schemes, assist HR with leaver request information, liaise with the ESOT on shares bought into the trust

MAR compliance; Assist in maintaining the MAR insider lists and lists of PDMRs and their PCAs.

Subsidiary Governance; Assist in the provision of a full company secretarial administration service to the Group's UK subsidiaries, e.g. preparation of director and shareholder minutes and resolutions, effecting changes to board composition, articles of association, company names, ownership structures etc in compliance with relevant legislation/regulation

Entity Management System;
Keeping corporate records up to date in Blueprint

Co Sec information;
Respond to company secretarial information requests from the business and from shareholders, and manage the Investor inbox.

Assist with the provision of company secretarial support on major internal transactions and projects e.g. group restructurings, acquisitions, company formations, strike-offs/disposals or liquidations

Governance updates;

Keep abreast of developments in company secretarial practice, corporate governance and best practice standards and discuss with the Senior Assistant Company Secretary any matters that should be considered for escalation

Department processes;
Suggest improvements in departmental processes and agree revisions with the Senior Assistant Company Secretary


ICSA part qualified (at least 1 module passed)

Strong academic background


Knowledge of company secretarial processes

Good computer skills, knowledge of Microsoft software
Knowledge of Blueprint desirable
