Job Description

Global media organisation is looking for an experienced Interim Assistant Group Company Secretary (ACG or FCG) to start imminently.

The successful candidate will provide a full, in-house company secretarial service to the holding company and its 240+ subsidiaries, including administration of 170+ UK subsidiaries and oversight of 40+ US entities. Reporting to the Group General Counsel, responsibilities will include:

*Managing and administering the incorporation and strike-off of companies
*Monitoring, reviewing and advising on appointments to group entities
*Statutory compliance and reporting for all UK companies
*Documenting board and shareholder decisions of UK and US entities (and other jurisdictions as appropriate)
*Providing technical support in respect of group projects and transactions (e.g. dealing with shares, loan notes etc.)
*Providing corporate governance advice and support in the context of corporate M&A processes
*Providing guidance and administering employee shareholdings and those managed through Employee Incentive Trusts, including compliance with HMRC annual reporting requirements
*Producing dividend documentation and maintaining promissory note register
*Reviewing, updating and circulating group structure chart
*Maintenance and review of group trade mark register, advising on appropriate registrations
*Development and maintenance of group trade mark guidelines
*Facilitating and supporting annual external audit processes
*Reviewing annual statutory accounts and advising on developments in corporate governance reporting
*Advising on the group's governance responsibilities and statutory and regulatory obligations, monitoring external developments
*Reviewing and updating governance and compliance register
*Preparing quarterly Group Secretariat report and circulating as appropriate
*Statutory compliance, reporting and registration maintenance for all UK companies
*Managing external relationships with employee incentive trusts, trade mark attorneys and auditors

The successful candidate must demonstrate strong communication and interpersonal skills, have an eye for detail and be able to work autonomously. Expertise with Diligent OneWorld (including advance share capital and data library) and advanced Microsoft skills, particularly Visio, is essential. A background in the media or a passion for the creative industries would be advantageous.
