Assistant Company Secretary - 9 month FTC

A global entrepreneurial household name is looking for an Assistant Company Secretary to join their team on a fixed term contract with the option of going perm. This would be an exciting and broad role with direct exposure to multiple boards from the onset.

Salary: £55-60k with great benefits
Reporting to: Deputy Company Secretary
Starting early September

The Role:
We are a family of businesses with a shared brand. The companies are run independently and often have different shareholders and boards. As the company grows around the globe, the Group needs to ensure that the new businesses created operate from the start with a strong emphasis on Brand, People and responsible business practices.

Board, Committee and General Meetings
*Attend and minute meetings as agreed with the Deputy Company Secretary and Group Company Secretary, ensure that minute books are maintained and that all documentation is properly prepared and circulated, as necessary.
*Assist in the collation and/or preparation of board papers for relevant group companies including liaison with relevant stakeholders and overseas services providers where appropriate.
*Oversee the preparation and distribution of board papers in respect of VM Advisory Limited and associated FCA compliance requirements.
*Assist in the provision of guidance to directors in relation to their duties and responsibilities.

Statutory, Regulatory & Compliance
*Undertake a range of ad hoc projects, including assistance with transactions, group restructuring and due diligence requirements, as identified by the Deputy Company Secretary or Group Company Secretary.
*Undertake maintenance of corporate information on the Department's Blueprint database in respect of the Group's subsidiaries and associates and oversee a range of statutory and other administration duties such as maintenance of statutory registers, amendments to share capital, amendments to articles of association and filing of confirmation statements.
*Assist in the preparation or review of statutory reports and accounts and approval and signature thereof.
*Work with the Finance, Tax and Treasury teams in connection with the preparation of documentation relating to inter-company loans, including the drafting of loan agreements, assignment agreements and funding agreements and letters of direction and assist with documentation in respect of other financing arrangements.
*Undertake, in conjunction with the Company Secretarial Assistant, the necessary actions to secure individual confirmations as required in respect of persons of significant control and update information in respect of changes in related entities.
*Oversee the preparation of the Group corporate structure charts.
*Oversee the provision of know-your-customer and bank account opening documentation as prepared by Company Secretarial Assistant.
*Assist in the preparation of documents and provision of information relating to any of the securities of any of the Group's investments in companies listed on any recognised investment exchange.

*Fully ICSA Qualified
*3 Years of Company secretarial Experience
