3 MONTH FTC

FTSE 250 leisure organisation recognised as a leader in its space seek either an Assistant or Senior Assistant Company Secretary. The role will play a key role in a small Secretariat team, supporting both the UK and International businesses by providing a comprehensive company secretarial service.

The key elements of the role will be:

Ensure the groups compliance with the UK listing regime and all relevant Companies Act requirements
Manage all PLC general meetings
Draft corporate governance briefing papers for the PLC Board
Manage the insurance programme in an appropriate and cost effective manner. Liaise with the insurance broker and provide oversight on insurance claims and insurance renewal information
Liaise with HR and other external service providers regarding share plan administration
Manage the day-to-day relationship with the share registrar
Manage the corporate governance framework of the business. In particular:
Maintain oversight of Secretariat Administrator to ensure all statutory records are maintained in accordance with statute
Take responsibility for the Group Delegation of Authority, Matters Reserved to the Board and PLC Board Committee Terms of Reference
Support the group companies below the PLC and relevant committees. This includes attending meetings and taking minutes for the Health & Safety Steering Group and Pension Trustees
Liaise with colleagues in Finance regarding subsidiary financial statements. Assist with the drafting and production of the annual report and accounts. Draft ancillary documents, in particular notices of general meetings

The company is looking for an individual who has extensive experience in a FTSE 250 listed company Secretariat role, and can manage relationships with peers and senior corporate colleagues with an appropriate style of communication.

You must possess gravitas and professionalism but be able to flex your style to suit a variety of stakeholders, and will be ACIS qualified.
