Job Description

A London based professional body with a global presence is seeking a Head of Governance to join their newly restructured company secretarial function. Reporting directly into the General Counsel, the ideal individual will be ICSA qualified, have previous experience working within a high-profile role and enjoy managing a team.


*Ensure that the organisation meets its corporate compliance obligations worldwide, and is continuously improving cross-functional working arrangements
*Oversee Board support services and be directly accountable as Secretary to the Governing Council and the Management Board.
*Oversee the global meetings and compliance planners
*Oversee Group and subsidiary board succession planning, appointment, induction, board effectiveness and development including relevant committees.
*Develop governance reporting and review systems where required
*Keep abreast of changing company and corporate law and other regulatory requirements in the UK and other jurisdictions, and corporate governance practice generally (including in regulatory bodies and the professions).
*Regularly review the company secretarial and governance working practices and systems to ensure they are appropriate and up to date with best practices.

Key Skills

*ACIS or FCIS qualified Company Secretary with significant board and committee experience
*Experience of managing a team and their personal development.
*Fantastic communication and organisational skills
*Proficient using company secretarial software
*Experience of entity management and compliance in group structures, including overseas entities.
*Transferable working experience for example in regulated environments or professional bodies.
*Experience of writing board and committee papers and resolutions.
