The function is based in London but partners extensively with colleagues in the US, Dublin and Asia. This is a 'hands on' role that requires a versatile individual with the ability to multi-task in a highly organized and fast paced team working to high standard.

Responsibilities:
*Support and oversight of all aspects of the company's UK-listed, closed-end investment trust complex, this will include but not limited to:
oLiaison with external, independent fund Boards in Guernsey and Luxembourg
oOversight of all third party service providers;
oOversight of all statutory reporting;
oLead and support capital raising activities and projects incl. project management of C Shares, IPO and other corporate activities;
oStay abreast of industry / regulatory developments and ensure the complex remains fit for purpose; and
oEscalation point for issue resolution.

*In conjunction with the wider team, provide support to the broader non-US mutual fund platform, including but not limited to:
oManaging ongoing refinement of UCITS and QIAIF offering documents;
oReview, identify and streamline inter-departmental processes and functions and, where appropriate, partner with the broader Infrastructure teams (Operations, Technology) in delivering solutions;
oRepresent the Legal team in franchise or strategic projects;
oOversight of third party company secretarial functions;
oCo-ordination of provision of manager related board papers and on-site due diligence visits; and
oSupport of the company's client coverage teams to ensure the platform delivers to the needs of its clients in multiple jurisdictions and regions, this may include, from time to time, participation in client due diligence meetings and presentations.

*Company Secretarial:
oServe as Company Secretary to the business (Switzerland) GmbH, and any other corporate entities and committees as required from time to time;
oServe as principal advisor to the boards of directors and heads of business lines on corporate governance matters;
oStay abreast of corporate governance developments, developing a best practice governance framework ensuring potential changes in legislation, regulation and guidance that might be relevant to the function are clearly identified and implemented;
oKey EMEA corporate governance and company secretarial SME, working closely with senior management across the firm to lead and advise on corporate governance matters; and
oCollaborate with other business areas and represent company secretarial in respect to ad-hoc projects as needed.


Qualifications:

*Qualified chartered company secretary (ACIS) and chartered governance professional
*Technical and practical understanding of corporate law and corporate governance
*Minimum 10-15 years' experience in financial services, majority of which should have been spent within Asset Management or Corporate Finance (UK Investment Trusts only) - experience in Securities Servicing or an equivalent area will also be considered if candidate has had extensive exposure to UK Investment Trusts
*Ability to operate and thrive in a large, multi-national firm, often working across virtual teams both within the firm and externally - as such, stakeholder management and clear communication is essential
*Working knowledge of transfer agency and fund accounting functions, especially in determining best practice
*Self-starter -able to work independently and pro-actively identify areas of focus and execute
*Management consulting, project management and/or business analysis experience advantageous
*Some periodic travel may be required e.g. attendance at quarterly fund Board meetings in Guernsey
