Forward-thinking, ambitious company dedicated to providing essential business services to overseas companies looking to enter, grow & scale in the UK. This firm is seeking to onboard a Governance Senior Associate to join their team, based in central London.
The role is challenging and varied and needs a confident, self-motivated person with great organisational skills and attention to detail. Reporting into the Head of Governance, you will be responsible for a small Junior team. Your responsibilities will extend to coordinating work across departments within the company. The Governance Team instils Corporate Governance best practices and helps our client companies comply with their obligations under Company Law & other regulations, thereby enabling them to concentrate on their core business activities.
KEY RESPONSIBILITIES
*Delivering effective and efficient Company Secretarial services across the organisation and their clients
*Establishing and maintaining relationships with clients from various jurisdictions and sectors
*As a Governance Senior Associate, responsible for coordinating a small team of Junior colleagues
*Assisting in significant corporate projects
*Responsibility for dealing with external advisors / service providers, including lawyers, accountants, tax advisors and registrars as required
*Supporting the close working relationships cross department within the company
*Coordinating and assisting with the following:
oSetting up new companies, bank account opening, registering for VAT, ICO registration and Health & Safety.
oEnsuring appropriate access to clients Bank Accounts, as well as maintain relationship with banks
oEvaluating and Brokering insurance needs for clients
oAttending Board Meetings, taking minutes and advising on Corporate Governance issues
oAdvising Directors on their duties and responsibilities and ensuring they are compliant with the statutes, constitutional documents and their company's internal governance policies
oAssisting with the UK aspects of corporate reorganisations, mergers & acquisitions, rationalisations, strike-offs
oAssisting with Employee Share Scheme matters
oArranging Know Your Client ("KYC") and People with Significant Control ("PSC") documentation and liaising with various providers, advisers and banks
oReviewing and maintaining Diligent Entities / internal corporate databases
oFiling all statutory documentation at Companies House.

Key Internal Contacts: Governance Department and all Departments.
Key External Contacts: Working with Clients and Strategic Governance partners and Advisors.

EXPERIENCE
*3+ years' experience working within a company secretarial, governance or legal environment
*Working with international clients / companies
*Knowledge of Company Secretarial practices
