Fantastic opportunity exists for a committed and organised individual to join this well regarded team as their Governance Manager. This is a new role to the organisation and will sit as part of the Leadership Team.

The Governance Manager will play a vital role in enabling the long-term success of the organisation through ensuring that good standards of corporate governance are achieved and maintained within the business and across its subsidiary businesses. You will be responsible for providing the Board of Directors and the Senior Leadership Team (SLT) members with expert, strategic and pragmatic corporate governance advice to enable efficient and effective decision making across the business and its subsidiary businesses.

Reporting to the Group Secretary, you'll be instrumental in organising, facilitating and ensuring that good practice is met in the planning and conducting of Board and Board committee meetings.

Further responsibilities for this role will include, but are not limited to:

Maintaining, interpreting, advising on and ensuring adherence to the organisation's Rules and Memorandum.
Co-ordinating arrangements for the annual appraisal of directors.
The maintenance and development of Board Committee Induction Plans and Routine Training Plans.
Drafting the governance related sections of the Society's Annual Report.
Completing the annual assessment of adherence to the Corporate Governance Code.

Candidate Requirements:

The successful candidate will be of graduate level with previous experience of working in a regulated environment, demonstrating high level written and verbal communication, alongside excellent analytical skills. You will be ICSA/legally qualified and possess a sound knowledge of corporate governance requirements and frameworks, alongside a sound knowledge of the Companies Act.

The ideal candidate will have effective networking and partnership skills and can engage, address, and influence a wide range of individuals, both internal and external, at all levels. The successful candidate will be able to demonstrate personal resilience, critical thinking, and the ability to work on their own initiative with the determination and drive to achieve the best possible results. You will be computer literate and be proficient in the use of standard software packages including Microsoft Office 365. Some travel will be required in this role.
