Job Description

DMJ are currently working exclusively with a respected FTSE 100 company in their search for a new Assistant Company Secretary, this opportunity would be the perfect role for an individual craving more from the commercial sector.

This permanent role based in West London will consist of becoming a member of the Corporate Secretariat team, providing robust, timely and professional support to the Assistant Head of Corporate Secretariat and deliver excellent company secretarial service to the company and its subsidiaries.

This is an exciting opportunity to work across the full range of Corporate Secretariat activities with responsibility for key work streams and projects, supporting the development of more junior members of the team.

All candidates MUST BE ICSA qualified

Key responsibilities:

Corporate governance
*Take a leading role as part of a team to deliver on the corporate governance requirements including maintaining accurate insider lists, drafting stock exchange announcements, block listing returns and preparing EDGAR filings.
*Manage the dividend payment process. Draft sections of the annual report. Play a key role in the delivery of the AGM. Compliance with the Group's US listing continuing obligations.
*Advising the Assistant Head of Corporate Secretariat and key stakeholders on corporate governance developments, staying abreast of key changes including the ability to network to gain appropriate external perspective
Systems management
*Responsibility for ensuring the information on Blueprint is accurate including through keeping the effectiveness of checklists under review, the Blueprint Review Manager process and audit of the information on Blueprint.
Private company compliance activities
*Service the Boards of the active UK group companies, ensuring meetings are effectively held and minuted.
Adhoc Projects
*Leading role on corporate projects that may arise from time to time, including company name changes, director changes, acquisitions, disposals and restructuring and all other Group Treasury and Group Tax driven projects
