Job Description

Our client is leading energy and renewables provider, now seeking a Deputy General Counsel for a newly created role.

The new position will manage the delivery of the Groups corporate legal strategy, heading up the central legal department.

Legal is a highly regarded resource by the Group's Board, you'll therefore have a visible impact on the Group achieving its objectives.

The Group has a strong ESG agenda and is looking for those who want to play a part in the UKs carbon emission goals.

Key Accountabilities:

The post holder is responsible for managing the following for the Group's activities:

· Setting legal strategy

· Managing legal and contractual risks: identification, advice, mitigation and solutions

· Managing legal budget to enable the business to achieve its budgets, identify areas for cost savings, and ensure external spend represents value for money

· Alongside commercial teams, lead strategy for contract negotiation

· Ensuring compliance with laws and regulations

· Understand and help to shape Group objectives, priorities, strategies and values. Support
their alignment with Group activities and across the business generally

· Pro-actively manage and develop the lawyers under their supervision

· Act as key member of the Customers and Generation management teams

· Lead knowledge sharing and training with department colleagues and within the Group Legal
Department, internally or in conjunction with external legal service providers

Further dimensions of the role:

-Legal Advice: Manage the legal aspects of, and deliver high-quality legal advice to the Group's businesses, balancing risk identification and mitigation and with commercial awareness. Lead drafting, negotiation and execution of contracts which will range in value, complexity and strategic importance to the Group.

-Customers: Oversee legal services for the Group's Customers business which supplies 100% renewable source power to its customers, ranging from small, single-site businesses through to large industrial, manufacturing and commercial businesses.

Legal services include negotiating bespoke contracts with large customers; negotiating corporate PPAs with generators of renewable power; managing standard terms and conditions; supporting the Group's electric vehicle customer proposition; collaborating with the business on new product offerings; rolling out Smart Meters; and managing disputes.

-Generation: Oversee legal services for the Group's Generation business. The portfolio is a
multi-site, multi-technology generation portfolio that provides power and system support services across the UK.

Legal services include negotiating bespoke contracts for all aspects of the business and managing disputes. Legal services will also be provided to Generation's related businesses, including trading, property, health and safety, procurement, and ancillary services.

-Logistics: Oversee legal services for the Group's Procurement and Logistics business, responsible for the procurement of sustainable biomass.

Legal services included negotiating high-value long-term contracts with biomass suppliers and shippers.

-Treasury: Oversee legal services for the Group's treasury activities and the means by which the Group accesses capital.

Legal services include negotiating and compliance for finance facilities, which include debt facilities, ESG facilities, private placements, and refinancing.

Management: Supervise all legal work that forms part of the department, ensuring at all times appropriate levels of internal/external legal support. Oversee a team of several lawyers.

External Counsel: Select and oversee external counsel to achieve value for money and drive down legal budgets. Manage an external legal budget.

Leadership Team: Play a key role in the Generation and Customers Senior Leadership teams, including participation in key strategic activities, discussions, work prioritisation, and decisions.
