A role based around relationship management, governance work, management and project management. This is a dynamic role in a mission focused organisation offering scope to make real change and implement good governance into a highly regulated company.

The Role:
*Management of Board and committee meeting processes in line with legal, regulatory and quality requirements.
*Drafting appropriate terms of reference for Board and committees and keeping them under regular review
*Plan and organise appropriate inductions for Board members
*Keep records of minutes and decisions of meetings of Board and committees
*Arrange director training as required.
*Development and implementation of practical governance frameworks and procedures to help directors discharge their statutory duties in line with good industry practice
*Brief Executive and Board on existing and new legislative and governance developments.
*Monitor and advise on developments in corporate governance
*Manage annual evaluation of Board and Board committees
*Key member of team managing production of annual report with particular focus on governance section.
*Identify issues and develop reports and recommendations based on specialist knowledge and best practice.
*Work collaboratively with other Company Secretarial teams across the Group to identify common legal trends / issues and lead the development and implementation of best practice solutions.

*ICSA Company Secretary Qualification. Degree (Law Preferred)
*Excellent knowledge of specific areas of law and practice, experience of Company Secretarial work
*Excellent interpersonal, communication and facilitation skills to develop and maintain good working relationships; ability to effectively advise senior staff up to and including Executive and Non-Executive Directors Ability to assemble and communicate complex information and advice including ability to draft company secretarial documents
*Excellent skills in managing deadlines, timetables, multi-tasking and priorities.
