Job Description

Deputy Company Secretary

Manchester (meetings only)
£80,000 + benefits

Management of the governance function, project work and 2x team members. This position is autonomy and board-level interaction with technical work. If you're seeking a step into Deputy Level or a sideways move to a socially positive organisation, this can offer breadth and challenge.

The role:
*Management of Board and committee meeting processes
*Drafting appropriate terms of reference for the Board and committees and keeping them under regular review
*Coordinate communications with Board members between meetings and oversight of logistics arrangements
*Manage process for review of Board minutes including liaising with shareholders
*Development and implementation of practical governance frameworks and procedures to help directors discharge their statutory duties in line with good industry practice (and including benchmarking with external organisations).
*Brief Executive and Board on existing and new legislative and governance developments.
*Monitor and advise on developments in corporate governance of relevance to the company and its subsidiaries including relevant UK corporate governance codes.
*Monitoring and advising on the efficacy of implementation of policies and procedures to facilitate continual policy improvement.
*Manage annual evaluation of Board and Board committees
*Key member of team managing production of the annual report with particular focus on governance section.
*Identify issues and develop reports and recommendations based on specialist knowledge and best practice.

*ICSA Company Secretary Qualification and associateship
*Excellent knowledge of specific areas of law and practice, experience of Company Secretarial work
*Excellent interpersonal, communication and facilitation skills to develop and maintain good working relationships; ability to effectively advise senior staff up to and including Executive and Non-Executive Directors Ability to assemble and communicate complex information and advice including ability to draft company secretarial documents
*Excellent skills in managing deadlines, timetables, multi-tasking and priorities.
