Job Description


JOB TITLE: Deputy Company Secretary/ Transaction Manager
REPORTING TO: The Head of Company Secretariat/ Director of Corporate Services


This is a split role between the corporate services business and the group's company secretarial requirements.

THE BOARDS

1.Board paper preparation, collation and circulation in a timely manner, attend meetings and produce high quality minutes.

2.Ensure procedures for all board committees are carefully documented and procedures followed.

3.Maintain employee handbook in accordance with changing employment law and maintain the group data protection registrations.

4.Provide advice as required to directors on company law, FCA/UKLA rules, stock exchange, corporate governance and other mandatory and voluntary practices as they affect the boards of public companies.

5.Manage statutory filings with Companies House for all UK group companies within the required periods.

6.Assist in the preparation of listed company annual report and financial statements and half yearly report.

7.Manage arrangements for the annual general meetings of subsidiaries.

8.Manage arrangements for the listed company ACM.

9.Liaise with the Corporation's registrars regarding the maintenance of the register of members, employee share schemes and the payment of dividends.

10.Administration of employee SAYE scheme.


CORPORATE SERVICES

1.Assist the director in preparing and submitting quotes for new business.

2.Point of contact for lawyers and others regarding set up of new transactions.

3.Document review of transaction documents.

4.Incorporation of new companies, attendance to all set up arrangements (bank account opening, data protection applications, LEIS, GllNs, preparing KYC packs etc).

5.Co-ordinating and signing documents for transaction closings, including attending closing meetings.

6.Liaison with clients and auditors regarding preparation and filing of annual accounts at Companies House, stock exchanges and other interested parties, including preparation and issue of annual compliance certificates.

7.Ensuring that SPV companies remain compliant with the Companies Act 2006 and any other relevant legislation including data protection, FATCA, CRS, etc.

8.Ensure that SPVs carry out their continuing obligations in accordance with the transaction documents.

9.Taking actions as necessary on behalf of the SPV as an authorised representative of the corporate directors.

10.Where the company acts as Company Secretary to client companies, ensure that the Companies Act obligations of the company are met, statutory books maintained, filings made etc and be the primary client contact, providing company secretarial advice as required.

NB Once established in the role, it is expected that the postholder will be willing and able to be appointed from time to time as a director of SPV companies where we provide corporate services.




PERSON SPECIFICATION

1 .Educated to degree level and ICSA qualified

2.Minimum 5 years of post-qualifying experience.

3.Relevant corporate experience. This is likely to be in one or more of the following:
*SPV administration;
*Securitisation teams (as part of bank arranging teams, or in paying agency/trustee teams, or,in a law firm, or similar);
*Company secretarial work at Assistant or Deputy Secretary level.

4.Experienced in:
*Plc and limited company management (statutory requirements of incorporation and on-going compliance and governance obligations of listed companies);
*Reviewing, understanding and commenting upon legal documentation.

5.A knowledge of corporate financing structures (securitisations, project financing, asset backed loans, etc).

6.Commercially minded, used to operating in a 'for profit' environment, flexible (ie willing to take on the whole range of tasks described in the job description).
