Job Description
The Department
The Corporate Secretariat team reports into the Group General Counsel and Head of Secretariat. The team provides company secretarial services and support to the plc Board and its committees and the subsidiary companies within the Group.
Overview of the Role
The candidate will work closely with the Group General Counsel and the head of Secretariat to provide the full range of company secretarial support to the Board, its committees and subsidiaries. This is a high level role operating at all levels of the Group, including liaison with Board Directors and Senior Management.
Duties and Responsibilities
*Provide the full range of company secretarial support for the Group;
*Advising on corporate governance to the Board and other Group stakeholders to ensure compliance with relevant statutory and legal provisions (including liaison with local advisers where necessary);
*Support the ongoing meeting administration requirements of the Group Board and its committees including setting Board/ committee agendas;
*Liaise with management regarding the provision and content of Board papers;
*Attend Board/ committee meetings and prepare all minutes; manage minute reviews and maintain and follow up action items;
*Preparation of any corporate governance reporting required by the NYSE and ASX;
*Maintaining the Corporate Governance Manual in accordance with best practice, including Conflicts of Interest registers for the Board;
*Advise on the preparation and release of stock exchange announcements to the NYSE and the ASX to comply with ongoing listing rule obligations including preparation of the AGM notice;
*Management and development of two members of the team;
*Arranging insurance for the following areas: travel and personal accident, employer's liability and public liability;

Technical Skills and Qualifications
*Relevant Company Secretariat qualifications or relevant US experience
*Experience of working with Senior Managers, Executive level in a Company Secretariat function
*Knowledge of relevant company law and company secretarial requirements (English law requirements acceptable) and US listing experience advantageous
*Ideally a background and experience within financial services
*Well-developed knowledge of Board processes and routines
