Job Description

FTSE 250 organistion require a Deputy Company Secretary to work as part of this small team.


To support the General Counsel & Company Secretary by providing a full secretariat service to the company including statutory record-keeping, Companies Act filings, Listing Rules and Disclosure Guidance and Transparency Rules compliance, together with year-end procedures and ad-hoc projects.

The role sits within the Legal, Risk and Programmes team which has responsibility for legal and governance compliance worldwide for the organisation and its group companies.

This is a new role in a newly created team at a time of exciting change at the company. The General Counsel & Company Secretary reports directly to the Chief Executive and the Legal, Risk and Programmes team has a high level of visibility at Board level and is expected to make a strategic impact on the business.

Whilst technical excellence is key, so is the ability to take a commercial, pragmatic and business-focused approach.


*Support for the General Counsel & Company Secretary and wider team in carrying out all the core company secretarial responsibilities of the department, including listed entity statutory compliance, year-end routines and ad hoc projects


*As allocated, contributing to drafting of company secretarial-owned sections of the listed company Annual Report and Accounts
*Providing assistance with the organisation of the AGM and associated documentation
*Investor relations website updates
*Drafting and releasing RNS announcements
*Companies Act and Listing Rules and Disclosure Guidance and Transparency Rules compliance
*Board minutes and ancillary documentation to support corporate activity


*Incorporation/registration of new entities in the UK and overseas
*Responsibility for subsidiaries within a particular overseas region to ensure compliance of overseas subsidiary companies, branches and other entities with local laws
*Maintaining and updating statutory documentation/files and Blueprint database records
*Subsidiary board minutes and shareholder resolutions for both ad hoc and routine matters (e.g. bank mandates)
*Statutory returns and accounts
*Integration of newly acquired entities
*Liaison with other Group functions as necessary, in particular the Company's finance team


*Assisting with some equity incentives-related tasks
*Assisting with ad hoc administration to M&A and other transactions
*Assisting with appropriate execution of contracts


Skills & Knowledge
*Finalist or fully ICSA qualified
*Practical company secretarial experience in a listed group and, in particular, experience of:
oAssisting with governance for a company listed on the London Stock Exchange
oSupporting the drafting and collation of reports/information for the Annual Report and Accounts of a listed company
oSupporting the drafting of documentation in connection with the AGM of a listed company
oPractical company secretarial experience in an international group environment and, in particular, experience of:
-Setting up new entities; and
-Managing the administration of UK entities and, ideally, overseas entities

Personal attributes
*Excellent company secretarial technical skills, including corporate law and governance expertise
*A commercial outlook and approach to the role of company secretariat
*Self-motivated, problem solving and decision making skills
*Ability to work in a fast-paced environment with demanding deadlines
*Computer literate, including Excel and Powerpoint, and preferably with experience of Blueprint
*Excellent communication skills, especially written English
*Good interpersonal skills required (tact, honesty, integrity, confidentiality, patience and ability to get on well with all levels of staff)
*Accuracy and attention to detail
*A good team player, able to apply your strong intelligence to handling internal and external stakeholders alike
*Comfortable with overseas travel to overseas offices where required
*Discretion is crucial in this role
