Position Overview
To assist with the statutory, company secretarial and legal requirements of the Group and to undertake ad hoc projects as required. To provide assistance to the department in company secretarial and legal matters in an efficient and timely manner. The successful candidate will be given full on-the-job training and will be given the opportunity to pursue a relevant ICSA professional qualification.


Responsibilities
Principal Duties/Tasks:

Statutory:
*Assisting with the maintenance of the GEMS statutory database
*Ensuring all statutory filings are made with Companies House
*Maintaining statutory files of all Group entities and minute books
*Monitoring the filing at Companies House of financial accounts and confirmation statements for all UK Group companies, to ensure all filings are made on time.
*Assisting with the preparation of minutes and resolutions for subsidiary companies, as required.
*Assisting with the preparation of dormant company accounts for approximately 25 companies.
*Assisting with the preparation of paperwork for the Annual Report and AGM, as required.
*Assisting with the drafting and release of Stock Exchange announcements.
*Assisting with maintaining the Group's employee insider lists via the Insidertrack database, and in issuing Closed Period notices, as appropriate.
*Monitoring, on a monthly basis, proposed new company names at Companies House.

Share Schemes:
*Processing the exercise of options under the Sharesave Scheme through liaison with Scheme Administrator, divisional payrolls and EBT Trustee.
*Assisting with the launch of Sharesave/SIP invitations, particularly with regard to organising HR and Payroll presentations and compiling the poster distribution list.
*Assisting with the grant/exercise of awards under the senior executive's Performance Share Plan, as required, through the Sharetrack database.

Administration:
*Assisting with archiving, including reviewing archived documents for disposal.
*Sourcing, scanning and uploading financial accounts, memorandum & articles and other important documents for all Group entities onto GEMS.
*Scanning and uploading minutes onto GEMS.
*General administrative duties, as required.

What we are looking for:
*3 relevant A-levels or degree.
*Excellent IT skills in Word, Excel and Outlook (training will be provided on the GEMS/Sharetrack/Insidertrack databases).
*Strong organisational skills.
*Ability to work accurately with meticulous attention to detail.
*Excellent written and verbal communication skills, and the ability to communicate effectively with people at different levels.
*Flexible team player.
*Ability to work on own initiative, prioritise workload and, after instruction, take responsibility.
*Genuine enthusiasm to learn and develop a career in the company secretarial field.
