Overview of the Role

To act on behalf of the company as the appointed Company Secretary to nominated Investment Trusts.

Duties and Responsibilities

*Attending board meetings, taking minutes and implementing decisions
*Providing agendas and supporting schedules and reports
*Producing the annual report and half-yearly updates to shareholders
*Liaising with the investment, sales, marketing, and accounting departments in order to co ordinate the production of board reports
*Maintaining statutory records and submitting returns to the Registrar of Companies
*Maintaining risk maps for each investment trust client
*Liaising with and monitoring the services provided by the Registrar and Depositary to the investment trusts
*Drafting and approving stock exchange announcements
*Reviewing and monitoring of the website to ensure that the investment trust information provided is correct and up to date
*To keep informed about changes to company secretarial practice and ensure investment trusts
*Comply with statutory and other regulatory provisions and liaise with colleagues to ensure best practice
*Develop a clear understanding of the portfolio, strategy and ambitions of the trusts
*which you have designated specific responsibility for and to keep the Director and Head of Investment Trusts and the Head of Investment Trust Secretariat abreast of all developments
*To act as a client service officer to ensure that the non-portfolio management services
*provided to client boards meet the needs and expectations of those boards and facilitate the resolution of any issues arising
*To build your position by developing good working relationships both internally and externally
*To act as an ambassador for the company at all times

Supervisory Responsibilities

*No direct reports
*Assistance in the training of the Company Secretarial Assistants to ensure that they understand and follow the correct procedures

Technical Skills and Qualifications

*Previous Company Secretarial experience, including listed company work
*Have an understanding of the Companies Acts 2006, private company secretarial practice and the Listing, Prospectus and Disclosure Guidance & Transparency Rules of the FCA
*Knowledge of Blueprint is useful but not essential
*Must be a qualified Chartered Secretary/Governance Professional (passed the examinations of The Institute of Chartered Secretaries and Administrators)
*Experience of Microsoft Office, Excel and Outlook is essential

*Good communication skills including the ability to liaise confidently at all levels and act with discretion and, the ability to effectively communicate the actions taken by you to other team members
*Ability to prioritise effectively
*Ability to write clear and concise reports within prescribed timelines
*Have an eye for detail and accuracy
*Ability to act under pressure and act on own initiative is essential
*Team work

Ongoing competence in the role to be assessed by:
*Annual Performance Appraisal
*Completion of all assigned Compliance training
