Job Description

Top tier accountancy firm seek an Assistant Manager. The candidate will be a number two for the head of department with a longer term view of taking over as head of department.

The Department:

The Company Secretarial Department is a small yet busy area of the firm which deals with a large number of clients. It is comprised of three qualified Chartered Secretaries, as well as a trainee and a company secretarial assistant.

The work of the department covers a wide spectrum of work from routine annual returns to share buybacks and capital reductions. The department also works closely with the corporate tax department (producing documentation for employee share scheme), the corporate finance department (producing documentation for capital restructures and share issues) and the audit department (providing company law and secretarial advice on a wide variety of matters).

The department acts as Company Secretary for some large companies and attends and prepares minutes for regular board meetings. The department also provides share registration services for unlisted companies.


The firm is looking for an experienced and qualified (ICSA) Company Secretary to join our existing team and be able to provide additional support to our growing client base.

The Candidate:

The successful candidate should ideally possess a wide scope of experience either working in a company secretarial department of a large company or within a practice environment. They should also demonstrate the following qualities:

*The ability to be innovative and have an open and flexible approach to tasks which may be varied
*Excellent communication skills
*Excellent interpersonal skills
*The ability to work unsupervised
*The ability to contribute and fully participate in client meetings
*Excellent skills in Microsoft packages, most specifically Microsoft Word

The ideal candidate should additionally be able to demonstrate a comprehensive knowledge of UK Company Law, and have some practical experience of applying and advising on UK Company Law. It would also be beneficial for the successful candidate to have some knowledge of the Business and Company Law of the principal offshore jurisdictions.

The successful candidate would also be required to draft minutes and other documents, such as Articles of Association, and shareholder and LLP agreements.

Experience of using Blueprint Company Secretarial software would be a distinct advantage, although not essential for the role and training will be provided.
