Job Description

Superb opportunity exists for a part-time Standalone Company Secretary

As a Company Secretary, you would be reporting to the CEO of the UK/European division with a dotted line to the Director of Corporate Strategy at our Head office in India. You will be responsible for the provision of corporate secretarial /legal and administration support, with the objective of ensuring all of the UK & EU entities company secretarial requirements and obligations are met and carried out in an appropriate manner.

This role will include:

Preparing agendas, creating and collating committee packs, taking minutes and following up on action points for board and management meetings.
Maintaining relationships with Directors, NEDs and Senior Managers within the business
Supporting the corporate team in preparation for transactions
Assisting with governance projects
Assisting with the drafting, review, completion and implementation of commercial projects
Providing legal support for HR initiatives and employee/contractor contracts
Overseeing HR and other policies across the division and making sure they are up to date
Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action
Liaising with external regulators and advisers
Maintaining statutory books, including registers of members, directors and secretaries, statutory filings

Requirements of candidates
An experienced company secretary/company administrator
Some HR and legal experience will be beneficial
Must have at least 5 years' experience
Experienced in registering and maintaining secretarial compliance for companies in EUPharmaceutical industry and multi-jurisdictional experience is preferred
Must have high level of communication skills in English
Fluency in any European language will be beneficial
Legal qualification preferred but not essential depending on experience
