Job Description

Reputed accountancy practice require a Company Secretarial Supervisor.

Overall job purpose

To undertake a wide range of Company Secretarial transactional support tasks, and where appropriate, delegating and managing this work using other members of the Corporate Secretariat team. Provide support to junior members of the team, reviewing work completed by the team and liaising with colleagues in the Legal team to plan and manage projects.


Responsibilities

* Drafting articles of association
* Group reorganisations
* Applications for exemption from Stamp Duty
* Purchases of shares
* Capital reductions
* Re-registrations
* Incorporating companies
* Advising on compliance matters and in particular, Persons of Significant Control
* Advising on Corporate Governance
* Liaise with colleagues in the Legal team to plan and manage projects involving multiple transactions and cross-disciplinary input
* To deal with ad hoc technical queries of a company secretarial nature
* To draft technical guidelines precedents etc as needed
* To support junior members of staff with training, coaching and development

COMPANY SECRETARIAL SUPERVISOR


* To review work done by other team members in accordance with departmental policy and provide open, honest and constructive feedback
* To ensure that tasks are performed accurately and by the required deadlines
* To communicate any problems in complying with instructions immediately
* To actively seek feedback on work once it has been reviewed
* To record time spent on a regular basis, and to ensure that time charged is consistent with the proper performance of the work
* To advance one's level of technical knowledge through appropriate reading and courses
* To comply with the firm's policies and procedures at all times
* To develop and maintain an advanced level of technical knowledge through appropriate reading and courses, and to fulfil the ICSA's CPD requirements
Personal and professional qualities
* Qualified Chartered Secretary with a minimum of 5 years' practical experience gained either within a professional services firm or in industry
* Grade B in GCSE Level English Language and Maths.
* Excellent technical knowledge, the ability to apply this practically and commercially and consult other experts when necessary
* Strong oral and written communication skills
* Strong IT skills, particularly Blueprint Oneworld, Microsoft Word, Outlook and Excel
* Ability to work on their own initiative and as part of a team
* Excellent organisational and time-management skills; ability to work under pressure
* The personal skills necessary to be successful in building relationships with internal and external clients, and to work with other disciplines within the firm;
* A commitment to client service and willingness to contribute to business development and winning new work
* A good level of self-awareness and enthusiasm for personal development
