Job Description

The role forms part of a small high-profile company secretarial team of four, which is responsible for the provision of an effective, efficient and timely company secretarial advice and support service to all group subsidiary companies.

This position forms a key part of the function and specifically focusses on administration of the companies share scheme

Key Responsibilities

*Administer the group's various executive share plans including the deferred annual bonus and long term incentive plan (using Howells SchemeTrack)
*Organise the annual / biannual Sharesave ('SAYE') launch and maturity arrangements and maintaining working relationships with Equiniti, the administrator of both the SAYE and the share incentive plan ('BAYE')
*Work collaboratively with the other company secretarial assistant, particularly on share plan administration
*Prepare and disseminating regulatory announcements to the London Stock Exchange (RNS Submit)
*Prepare the share plans annual tax returns
*Lodge regulatory filings
*Maintain subsidiary company minute books and statutory registers using company secretarial software (Blueprint OneWorld)
*Oversight of incoming email traffic via the CBG Website
*Update the group structure diagram
*Assistance with preparation and mailing of annual reports and accounts and AGM arrangements
*Sustain excellent service standards with share plan participants including senior executives from across the group
*Maintain constructive working relationships with Equiniti on SAYE and BAYE administration

Risk & Compliance

*Ensure that all Governance and Compliance requirements are adhered to and all reporting and reviewing activities required by the Regulatory Bodies are carried out to the standards required.

Skills & Experience

*Highly numerate, with experience of duties which require a strong attention to detail.
*Proven experience dealing with important customers or stakeholders on a daily basis.
*Advanced MS Office skills - essential to be very comfortable with Excel and PowerPoint
*Excellent proof-reading skills essential
*Strong skills and experience communicating at all levels of an organisation
*Good commercial awareness
*Degree desirable, although not essential
*Discreet and diplomatic
*Professional attitude - sees task through to completion
*Excellent interpersonal skills
*Meticulous attention to detail
*Good team player
*Ability to prioritise and use good judgement, and feedback when necessary
*Adaptable, able to cope with peak work loads
*Tactful and discreet, as you will be dealing with senior directors and confidential information
*Open, supportive and flexible, particularly towards other company secretarial assistant but also to wider team
*Experience maintaining filing and archive systems


*Experience of share plan administration and working knowledge of Howells SchemeTrack, desirable although training will be provided
