Job Description

Well regarded financial and professional services firm seek a CoSec Assistant Manager.

You will be part of one of the largest independently owned investment managers in the UK in addition to being 1 of the UK's largest accountancy firms.

Purpose of role:

The role will be UK Technical based and focus on core UK Corporate Secretarial skills. Working in a team of four, a company secretarial assistant manager will help provide high quality company secretarial services to a growing client base of UK entities focusing mainly on regional offices.

Key Responsibilities:
*Flexibility to travel to different regional offices and provide company secretarial support, as required
*Build relationships and develop the company secretarial offering in the regional offices
*Business development to promote the company secretarial service including attending networking events
*Provide advice to clients and colleagues on company secretarial matters and answer queries of a technical nature
*Manage a portfolio of clients and contribute to the smooth running of the company secretarial department
*Advise, prepare the required documents for signature and manage the process through to completion for:
oReduction of capital via solvency statement
oBuyback of shares
oRe-organisation of share capital (e.g. allotment, subdivision, consolidation, share buybacks, redenomination, creating new share classes
oTransfer of shares and arranging payment of the Stamp Duty where required
oWaiver and payment of interim and final dividends
oVoluntary striking off of private companies and LLPs
oLiaise with the lawyers for the restoration of companies by court order
oIncorporate UK companies, LLPs and registration of UK establishments of overseas companies
oChange the name of companies and LLPs
oDraft routine amendments to articles of association and the necessary resolutions and ensure timely submission to Companies House.
oChange of accounting reference date
oConfirmation statements
oDormant company / LLP accounts
oDe-register mortgages and charges at Companies House
oArrange for the notarization and legalisation of documents
*Assist with client billing and other aspects of the management of the team.
*Assist with training junior members of the team
*Assist with maintaining the electronic statutory registers (on Blueprint OneWorld) for approximately 800 UK companies and Limited Liability Partnerships
*Assist with the client take on process including draft client engagement letters, obtaining KYC documents and setting up client codes, as required

Candidate Profile

*ICSA Graduate or part qualified with experience.

Key Experience/Skills:
*Solid technical skills in general secretarial practice and practical experience with capital reductions, share buy-backs and other more complex procedures.
*Demonstrable experience in a similar role in a busy company secretariat or Practice
*Sound knowledge of general company secretarial administration procedures and the Companies Act 2006.
*Awareness of the recent changes brought about by the Small Business, Enterprise and Employment Bill (including PSC register)
*Able to multi-task in busy periods and ensure that the team meets the deadlines within set time limits
*Excellent oral and written communication skills and a good eye for detail.
*Experience with Blueprint One World (not essential)
