The role is to provide Company Secretarial support to the Firm in a professional, efficient and pro active manner.
Company Searches (training to be provided)
*Carrying out the process of online searches on legal entities and individuals from requests received firm wide.
*Using internal intranet (One Point) to provide the searches. To include company and individual searches using Companies House, The Insolvency Service, Land Registry, Accuity, Legalinx and winding-up petitions by contacting the Central Index at Companies Court, reviewing corporate information at international online registries and liaising with Agents in respect of such foreign company searches.
*Reviewing and processing monthly invoices from Companies House, Agents and the credit card used for searches.
*Dealing with day to day correspondence including unreferenced/unclaimed mail.
*Composing and typing e-mails, compliment slips and general correspondence to clients, etc.
*Filing all general correspondence created (by you) or if required assisting with the general filing in the team.
*Preparation of the monthly company secretarial invoices to be issued. Splitting list and preparation of invoices and statements for the provision of company secretarial services, registered office facility and/or company formation costs.
*Maintaining correspondence files and archiving files where required.
*Preparing relevant transfer requests.
*Using specialist software (BP 2000) (training to be provided)
*Helping to maintain and run the electronic reminder system in relation to the forthcoming filing of accounts/annual returns (BEN).
*Preparation and forwarding of Annual Returns using BEN.
*Filing Annual Returns and other forms where required with Companies House electronically and in paper form (if required).
Additional Responsibilities (where feasible - other work flow permitting):
*Preparation (under guidance) of all statutory documentation, including Incorporation documentation, resolutions, board minutes and statutory forms to effect the changes to the company. Filing at Companies House, both electronically and in paper form. Updating/Writing up statutory registers, including input of data onto BP 2000.
*Ensuring that the registered office display of companies whose registered office is at FP is up to date and regularly checking and updating the data supplied.
*Fielding calls from clients/fee-earners' queries in respect of company secretarial matters (to include covering the phones when the team are unavailable).
*Amending board minutes, AGM and other documentation as required.
*Preparation of all statutory documentation required for the completion of matters within the Company Commercial Service as instructed by a partner/fee-earner, i.e. board minutes, resolutions, statutory forms, etc. Writing up statutory registers and preparation of correspondence to Companies House.
*Maintenance of statutory records for existing client companies and also for preparation of the same for newly incorporated companies.
