Job Description

International FTSE business in the North West is seeking a part qualified Chartered Secretary to provide technical company secretarial support.

Key aims and objectives
*Meeting the department's compliance obligations
*Keeping abreast of changes in regulation/legislation through continuing professional development
*Supporting the Assistant Company Secretary and providing cover
*Working independently and giving instruction to certain members of the team

Prime responsibilities and duties
*Assist in the provision of a full company secretarial administration service to the Group's UK subsidiaries e.g. preparation of director and shareholder minutes and resolutions. Effecting changes to board composition, articles of association, company names, ownership structures, etc. in compliance with relevant legislation/regulation.
*Drafting and submission of forms and returns to the Registrar of Companies.
*Undertake complex edits required to records in the corporate entity records system, GEMS.
*Respond to company secretarial information requests from the Business Units and central functions.
*Assist with the provision of company secretarial support on major internal transactions and projects e.g. group restructurings, acquisitions, company formations, strike-offs/disposals, and other tasks prompted by the Changes in Corporate Structure Approval group mandatory procedure, etc.
*Keep abreast of developments in company secretarial practice, corporate governance and best practice standards and discuss with the Assistant Company Secretary any matters that should be considered for escalation.
*Suggest improvements in departmental processes and agree revisions with Assistant Company Secretary.
*Undertake any other reasonable duties as requested e.g. project to standardise subsidiary Articles of Association etc.
*Willingness to learn new skills and assist with a broader range of duties.

*Essential: ICSA part qualified (at least 1 module passed)
*Strong academic background

*Knowledge of company secretarial processes
*Good computer skills, knowledge of Microsoft software
*Knowledge of GEMS would be desirable, but not essential as training can be given
