Job Context:
The Company Secretarial Assistant supports the Company Secretary in providing a first class, in-house company secretarial service to all UK group companies, delivering administrative excellence and relevant advice on UK company law.

To administer the following areas, as directed by the Company Secretary:

Core duties:
-Statutory database of company information (Blueprint OneWorld) for 60+ UK companies
-Statutory database of information on 40 overseas subsidiaries
-Preparation of structure charts providing information about UK group of companies
-Preparation of minute summaries for UK businesses
-Updating and maintaining the PSC Register, Register of Directors Residential Addresses and Conflicts of Interest
-Preparation of draft board resolutions, powers of attorney
-Assisting with arranging execution of legal documents - for all UK group companies and UK owned overseas companies as required
-Assisting with preparation of board packs and setting up of board meetings
-Filing of documents with Registrar of Companies to comply with statutory requirements e.g. annual statement, changes of directors
-Data protection registrations
-Bank mandate changes
-Reviewing, monitoring, completion and filing of statutory accounts for all UK group companies within specific timescales
-Responding to queries from former shareholders
-Filing / recording of documentation as required
-Assisting with contracts registration matters
-Maintaining the Passport and OpenText Matter Management systems with company secretarial matters as directed by the Company Secretary
-Review and completion of checklists in relation to corporate simplification programme

-Research into historical activities of legal entities as part of the corporate simplification programme to dissolve dormant group companies and provide reports on each entity to the Company Secretary (LER Project)
-Undertaking legal research for the Company Secretary and producing reports, as and when required
-Assisting the Company Secretary to deliver improvements in corporate governance processes for the UK

Requirements for Job (education or experience required to be able to perform this job):
*Degree level education (or equivalent)
*Ideally GRADICSA qualified (possibility of providing study support package, if relevant)
*1 - 2 years PQE or relevant experience in the company secretarial field
*Excellent English language skills, spoken and written
*Good analytical skills and sound judgement
*Excellent eye for detail
*Highly proactive
*Ability to deliver great service to internal customers
*Strong networking skills
*Ability to understand the bigger picture
*Excellent IT skills, including strong proficiency in Blueprint OneWorld software
*Active knowledge and understanding of Companies Act 2006 and related legislation
*Experience in drafting minutes / simple form agreements / powers of attorney
