Job Description

The Company Secretarial Assistant will assist the Group Company Secretary in ensuring all the statutory duties imposed on the Company and its Board of Directors under the Companies Act and other statutory instruments are effectively discharged and complied with and the Board advised on such matters.
To be responsible for maintaining the statutory records including the input of data onto Blueprint OneWorld, filing annual returns and other forms where required with Companies House.
To assist in keeping the Board up to date on any new legislation affecting the business or their responsibilities.

Main Responsibilities

* Organise Group Board and subsidiary board meetings
* Assist in the preparation of the board agendas and the compile and distribute papers for the Group Board and subsidiary companies meetings
*Assist with the preparation of papers for monthly management meetings
* Liaise with the Group Board and Non-Executive directors and senior management
* Maintenance of statutory records, minute books for the UK subsidiaries
* Assist with company secretarial services for the Group and the UK subsidiaries
* Provide effective support to the Group Company Secretary across all core company secretarial retail functions and deputising for the Group Company Secretary when required
* Attend meetings, take minutes and manage follow up actions and maters arising as required
* Matters arising in connection with the Group brand protection strategy including the management of trademarks and trademarks applications
* Maintenance of the Groups data protection notification and other relevant regulatory authorisation
* Liaise with the Groups corporate advisers
* Insurance-responsible for the day to day administration of insurance claims.
*Assist with the compilation of information for the annual insurance renewal
*Liaise with the Group insurance brokers and insurers as required

Essential Skills and background

*Ideally 2 years ICSA qualified/ICSA graduate (or equivalent)
*Ability to work autonomously with a high degree of responsibility and accountability
*Strong communication skills, highly organised & detail focused
*Effective team player, conscientious & flexible
*Lateral thinker, problems solver with creativity
*Influential with the ability to gain the confidence and trust of the Board quickly
*Knowledge of Blueprint One World system a distinct advantage
