Superb opportunity exists for a Company Secretarial Assistant to join this reputed international law firm

Job purpose
*To provide and increase the company secretarial and administrative support the firm offers to clients.
*To provide registered agent services to offshore companies registered in the Jebel Ali Free Zone (the JAFZ) and the Ras Al Khaimah International Corporate Centre (the RAKICC) and intermediary registered agent services to companies incorporated in the British Virgin Islands (the BVI) and the Cayman Islands; and
*To help establish/implement systems, polices and precedents to ensure high standards of corporate governance.

Key responsibilities
*Establishing offshore companies in the BVI, Cayman Islands, JAFZ or RAKICC, the Abu Dhabi Global Markets (the ADGM) and the Dubai International Financial Centre (the DIFC) and preparing the necessary supporting applications required under different governing regulations;
*Advising on and assisting with change of name, directors, general manager, activities, and share transfers and registration of pledges, mortgages, etc for offshore companies;
*Obtaining certificates of good standing, certificates of good standing from relevant government authorities and no-objection letters;
*Overseeing and advising on the preparation of case registration forms, conducting conflict searches, collating and submitting the necessary 'KYC' documents to Business Acceptance (BAU), updating BAU with any material changes of existing clients, liaising with BAU for file opening and closing;
*Maintaining statutory records, including UBO, shareholder and officer registers;
*Assisting with annual ESR filings and licence and registration renewals for onshore, free zone and offshore jurisdictions;
*Undertaking company searches and making online applications;
*Arranging for authentication of documents for use in the UAE;
*Coordinating with the finance department and correspondents to prepare invoices, arrange for payment of invoices, keeping track of statements of account;
*Preparing and maintaining corporate bibles, ensuring all relevant details are added/updated on relevant databases and annually reviewing corporate bibles and requesting where required updated due diligence documents;
*Maintaining current awareness of relevant companies acts and governing regulations and taking appropriate action;
*Advising on filing requirements and compliance with local laws and regulations;
*Drafting and maintaining template precedents such as resolutions, powers of attorney, memorandum and articles of association, share transfer documents, request letters, invoice letters, etc;
*Preparing and updating guidance notes on relevant procedures and processes;
*Preparing agendas and notices for and taking minutes of board meetings and annual general meetings;
*Developing marketing materials and engaging in pitches and business development initiatives;
*Assisting with developing and overseeing systems and policies for corporate governance standards;
*Assisting with preparing templates for company secretarial actions in KSA;
*Assisting with developing and implementing new pricing structures; and
*Participating in projects and ad hoc duties as designed by the Head of Corporate Services to benefit the Department.

Candidate Profile
The ideal candidate will:
*be ICSA qualified; formal legal qualification desirable
*have at least 1 to 2 years corporate services administration experience with knowledge of offshore systems and procedures; law firm experience desirable
*have BluePrint, Oneworld or Viewpoint experience
*have good communication and interpersonal skills
*be team oriented and able to work autonomously whilst being adaptable and flexible
*be exposed to working in different cultures
*have strong attention to detail and excellent organisational and time management skills
*be able to work to deadlines and under pressure
