Job Description

FTSE 100 OPPORTUNITY

The purpose of this role is to support the Company Secretariat team in delivering a high quality of corporate governance and compliance administration across all aspects of the departments work, with a particular focus on the maintenance of accurate statutory records and timely filing of returns and release of regulatory announcements.

Main Accountabilities and Tasks:
*Subsidiary company compliance including the preparation of minutes, maintaining statutory records and filing of returns.
*Assisting with the drafting, reviewing and approval of subsidiary company statutory accounts.
*Assisting with governance arrangements relating to banking operations and divisional board delegated authorities.
*Maintain and reconcile accurate share capital records and prepare and release RNS announcements in relation to buybacks, block listings, TR1 notifications and voting rights.
*Assist with the planning and preparation for Board and Nominations Committee meetings including preparation of agendas, minutes, meeting calendars and attendance schedules.
*Assist with the preparation of Annual General Meeting scripts and packs, and event planning as required.
*Assist with the preparation and verification of the Annual Report and Accounts as required.
*General administration; including invoice processing, maintenance of archive filing and support to Employment Lawyer in preparation for training sessions and tribunals.
*Provide cover for other Company Secretarial Assistant in times of absence

Person Specification

Qualifications
*Graduate ICSA (completed the Chartered Secretaries Qualifying scheme or an ICSA validated post-graduate course).

Skills/Experience
*Experience of working in FTSE listed company secretariat is essential.
*Working knowledge of the legal, regulatory and corporate governance framework applying to listed companies.
*Accuracy and a close attention to detail.
*Confident and articulate in order to deal credibly with senior executives and managers.
*Proficient in Microsoft word, excel, powerpoint and outlook.
*Proven ability to think and work independently, whilst being a strong team player
