Job Description
* Broad range of company secretarial and legal support tasks
* Attending to statutory filings and notifications to the Registrar of Companies for UK companies and overseeing State and Federal filings for US companies
* Maintenance of group company records (overseas and UK) to ensure accuracy and completeness * Support the Company Secretary with Remuneration Committee and Audit Committee matters, including the taking and drafting of minutes and the preparation of a Litigation Register
* Organising and arranging board meetings to ensure a smooth and effective execution, including preparation of the notice of meeting and other ancillary documents
* Preparation of reports and other ad-hoc papers as required, for board meetings
* Preparation of routine subsidiary company minutes
* Assisting in ensuring good corporate governance and compliance with sanctions, Health & Safety, Data Protection (GDPR), Anti-Bribery and Corruption, whistle-blowing, and advising on best practice
* Primary responsibility for co-ordinating the group's global insurance programme, including overseeing the annual renewal process with the company's insurance brokers
* Registering and managing the group's worldwide trademark portfolio and liaising with trademark agents
* Reviewing confidentiality agreements and dealing with ad hoc contract queries from operational businesses
* Dealing with tasks related to UK and overseas acquisitions and corporate actions, as required, including M&A documentation, letters of intent, non-disclosure agreements, contract terms, employment agreements and ancillary documents
* Maintaining central database of group companies (Diligent Entities)
* Involved in rationalising dormant subsidiary companies
Knowledge, Experience, Skills & Qualifications
* Ideally ICSA qualified or part-qualified. Training support can be provided should the successful candidate want to pursue the ICSA qualification
* Educated to degree level or equivalent
* Ideally someone who has worked in a group with overseas subsidiaries
* Working knowledge of the Companies Act 2006 and GDPR
* IT skills: Diligent, Word, Excel
* Minute taking * Highly organised and practicable
* Computer literate
* Ability to work to deadlines and remain calm and focused
* High level of accuracy/attention to detail
* Discreet and confidential
* Flexible and adaptable
