You will provide a cosec service to the firm's subsidiaries, ensuring that their entities fully comply with the relevant UK laws. Working as a part of a specialist team of four, the Assistant Manager will help provide high quality company secretarial services to a growing client base of non-listed UK entities.
The role is client facing and incredibly visible within the Firm. For the right candidate there will be significant scope for career progression.
Key aspects of the role include:
*Producing the necessary documents for and registering share allotments, share subdivisions and consolidations. Involvement with capital reductions and share buy-backs.
*Creating the documents for share transfers, keeping track of the transfer process, including arranging payment of stamp duty (where required) and registration of the transfer.
*Producing various Board/Members' resolutions including authorising payments of interim or final dividends and producing dividend vouchers. Advising the clients of the relevant statutory requirements.
*Ability to interpret articles of association particularly in relation to the directors' interests, authority to allot and pre-emption rights.
*Preparation and timely filing of the Confirmation Statements, and other Companies House forms as applicable, for clients' entities and for the firm's subsidiary entities, liaising directly with the clients to obtain their approval for electronic filiings
*A Levels (x3), or equivalent.
*ICSA graduate or associate strongly preferred but will consider someone studying towards the ICSA professional qualification and having passed the Company Secretarial Practice module.
*Previous company secretarial experience in a similar role.
*Able to work independently as well as part of a team in a fast-paced professional environment and to deliver a high quality service at all times.
*Able to take responsibility for tasks, ensuring that the deadlines are met.
*Analytical; attention to detail; ability to communicate succinctly both verbally and in writing; pro-active; self-starter; hands on approach; prioritising skills.
*Good understanding of the procedure and relevant statutory requirements for share capital reorganisations, share allotments, share transfers, dividend payment procedures as well as general statutory compliance for UK private companies limited by shares, UK private companies limited by guarantee, LLPs and UK branches.
*Ability to complete the majority of the tasks with minimal supervision.
*Degree (minimum 2.2), or equivalent.
*Good understanding of the Companies Act 2006. Awareness of the changes brought in by the Small Business, Enterprise and Employment Act 2015, particularly the PSC Regulations 2016.
*Blueprint One World (highly desirable)
