The Company Secretarial Department is a small yet busy area of the firm which deals with a large number of clients. It is comprised of three qualified Chartered Secretaries, as well as one trainee and two company secretarial assistants.
The work of the department covers a wide spectrum of work from routine Confirmation Statements and maintenance of statutory registers to share buybacks and capital reductions. The department also works closely with the corporate tax department (producing documentation for employee share schemes), the corporate finance department (producing documentation for capital restructures and share issues) and the audit department (providing company law and secretarial advice on a wide variety of matters).
We are looking for a qualified (ICSA) Company Secretary with at least 3 years' relevant experience, preferably gained within a professional services environment, to join our existing team and be able to provide additional support to our growing client base.
The successful candidate should demonstrate the following qualities:

*Thorough knowledge of the Companies Act 2006 and associated legislation
*Excellent communication skills
*Excellent interpersonal skills
*The ability to work unsupervised and supervise staff
*The ability to contribute and fully participate in client meetings
*Excellent skills in Microsoft packages, most specifically Microsoft Word
*Knowledge of Corporate Governance requirements
The ideal candidate will be able to demonstrate a comprehensive knowledge of UK Company Law, and have some practical experience of applying and advising on UK Company Law. It would also be beneficial for the successful candidate to have some knowledge of the Business and Company Law of the principal offshore jurisdictions.
The successful candidate will be required to provide a full range of company secretarial services to clients ranging from basic compliance work and incorporating companies, to drafting documentation in support of more complex work such as re-organisations, share buybacks, mergers and demergers.
Experience of using Blueprint Company Secretarial software would be a distinct advantage, although if required training will be provided.
