Assistant Company Secretary - FTSE 250

Based: London, Berkshire or Midlands
Reports to: Deputy Company Secretary
Salary: £60,000- £70,000

A small, growing function is seeking a well rounded Assistant Company Secretary to develop into a broad and dynamic position. This role will offer project management, end to end committee and board-level support, shares schemes exposure and work with shareholders. This position is suited to someone ideally with listed experience looking to grow and develop their exposure.

The role:
*Supporting the Deputy Company Secretary to evolve, enhance and oversee the governance framework to ensure compliance with the UK Corporate Governance Code and statutory requirements.
*Undertaking various corporate governance projects as required, including but not limited to reviews of terms of reference and matters reserved for the Board, oversight of project insider lists, scheduling of Stock Exchange announcements, block listing activities and annual reporting requirements.
*Providing company secretarial support on corporate projects.
*Producing prompt and effective minutes taking into consideration of legal and regulatory responsibilities and reporting requirements.
*Maintaining statutory and other records for all entities within the business
*Maintaining accurate records relating to share capital, including all employee and discretionary share plan transactions. Incentives.

*Educated to degree level and ICSA qualified preferred
*At least 3 years of company secretarial experience, to include subsidiary management, meeting support and minute taking.
*Highly organised, process driven and detailed-oriented especially in written work.
*Keen interest in complex situations impacted from different and unexpected angles.
*An ability to establish credibility with and inspire confidence in all stakeholders, and to exercise judgment in dealing with sensitive and confidential issues.
