Assistant Company Secretary

Head of Legal & Company Secretary

A leading provider of innovative and specialist engineering services world-wide

To support the Head of Legal & Company Secretary to ensure that the Group and its subsidiary undertakings comply with their statutory obligations, most notably those under the Companies Acts, the Listing Rules and the UK Corporate Governance Code and to assist with the provision of company secretarial services to the Board and the Group's 160+ UK and Overseas subsidiaries.

The role covers several areas to include:-
Determining the statutory obligations of undertakings within the Group and ensuring, by the most appropriate means, that those obligations are met.

Ensuring that up to date statutory and other records are maintained for each company within the Group and that documents which are required to be filed by law are filed on a timely and accurate basis in accordance with the relevant legislation.

Provision of company secretarial services to Plc and the Group's subsidiaries.

Provision of support to the Head of Legal & Company Secretary on ad-hoc company secretarial projects

Company secretarial services - The provision of core company secretarial services to Plc and Group companies including: preparation of board/shareholder documentation; drafting minutes of meetings and POA's; drafting capital reduction and capitalisation documentation; managing company strike off's; amending subsidiary Articles of Association; assisting subsidiaries with the completion of forms and the provision of documents in relation to tenders; attending to requests for notarisation of documents, certified copies of registers and board resolutions; and the ordering of certificates of good standing and copies of accounts and information from Companies House Direct.

Corporate governance and compliance - To provide a central source of guidance and advice within the Company on matters of Companies Act compliance and good governance.

Maintenance of statutory records and hard copy books. Preparing and filing information with the Registrar of Companies to report certain changes regarding Plc and subsidiaries within the Group e.g. appointments and terminations of directors or to comply with requirements for periodic filing e.g. the annual return.

Drafting RNS announcements and on a monthly basis updating the Company's website in relation to Plc's major shareholders.

Maintain statutory records on Blueprint's Company Secretarial package as an edit user.

External communication with third parties: Capita, Plc's share registrars re shareholder queries etc; Point of contact for queries via the Company website; UK and overseas law firms and banks when assisting the Group's Treasury department with arranging new bank facilities; and overseas company secretarial firms re the Group's overseas subsidiaries etc.

Assist with organising the AGM and with the drafting of AGM related documents to shareholders.

Assist with the production of the Annual and Interim reports.

Maintenance of the Group's registered office notice boards in Barrow-in-Furness and at Oldmeldrum.

Checking and processing company secretarial related invoices.

Supervision of an admin support person.

Experience in a Company Secretarial role previously, ideally within a Plc environment providing Board Support and Compliance Administration and Governance
Previous experience of managing staff is preferred but not essential
Strong Stakeholder Management with the ability to communicate and influence across multiple stakeholders
The ability to work on multiple projects at any one time

ICSA Qualified (but will be flexible if applicant has the requisite experience)
