Job Description

The Governance & Co Sec Department is responsible for delivering a high quality corporate governance and company secretariat service for Groups companies and clients.

Working under the guidance of the Head of Governance & Co Sec, the Assistant Company Secretary will primarily act as Secretary to a portfolio of the Groups clients. Activities will include preparing board and committee meeting packs, providing meeting support, producing timely and accurate minutes of these meeting and advising the client manager and client board chair on effective board management, along with the general core duties of an Assistant Co Sec role.

Key Responsibilities:
*Provide a comprehensive governance and secretarial service to the Boards and Committees of a portfolio of clients. This includes:
opreparing agendas, including draft resolutions
omanaging meeting arrangements
ocollating papers and ensuring their timely distribution
oreporting on governance activities
oproducing minutes and actions to deadlines
omonitoring follow up action taken after the meeting

*Make arrangements for general meetings, including the preparation and sending of notices and other related documents in accordance with companies legislation
*Developing and maintaining good relations and contact with key Executive Directors and Senior Managers who provide reports to the Boards/Committees
*Advising and ensuring the client manager, chairs and directors comply with their legal responsibilities and updating them on developments in the law and governance best practice (as interpreted and applied by the Governance Dept.)
*Ensure statutory filings and notices in accordance with Companies House deadlines
*Delivery of core company administrative and governance services, including maintaining statutory registers, board meeting calendars and policy and procedure documents
*Develop and embed the delivery and automation of the governance and company secretarial systems and processes necessary for the continued growth of the Company / Mutual and enhancing operational efficiencies
*Such other responsibilities as are required to ensure the effective delivery of the Department's workload

*Superb accuracy and attention to detail
*Strong written communication, including the drafting of resolutions
*Strong analysis, judgement and decision making
*Strong planning, organisation, and management skills
*Challenges the status quo; open to new ideas
*Aware of own strengths and limitations; desire to learn
*Excellent IT skills and good experience of MS Office and Adobe Acrobat

This role will suit a pro-active all-rounder who is able to balance the delivery of effective governance & co sec services with a sound commercial perspective. The successful candidate will be willing to embrace the challenges and opportunities of a rapidly developing environment.

*Degree educated or relevant work experience
*Demonstrated experience of core corporate administrative and governance services
*Experience of taking accurate and concise minutes of meetings
*Excellent interpersonal skills and ability to develop and maintain effective working relationships at all levels, particularly senior managers and directors
*Ability to work without supervision and on own initiative
*Ability to meet deadlines and balance multiple tasks
*Sound and balanced commercial judgement
*Ability to drive and deliver tasks and influence others to do so

*Working to or ICSA qualified
*Knowledge of insurance and financial services regulation
*Knowledge of UK companies legislation & corporate governance practices
*Knowledge of IP rights an advantage
*Knowledge of contracts management an advantage
*Client management experience an advantage
*Knowledge of risk management an advantage
