Outline of role and responsibilities:
The role will be based in London, reporting directly to the Head of Corporate and Wealth Management Secretariat.
The candidate's principal responsibilities will be to provide company secretarial services and governance support to various group subsidiaries and support for the wider business.
The candidate will predominantly be responsible for:
*Act as Company Secretary for various Group subsidiaries and support for the listed holding company.
*Act as Company Secretary to the Group's pension trustee company including preparation of board papers attending board meetings and drafting minutes.
*Act as the main point of contact for maintenance of the Group legal entity structure including reorganisations, liquidations, disposals and incorporations.
*Providing technical advice to boards and other parties on statutory and regulatory requirements arising from, inter alia, the Companies Act, FCA Listing Rules, DTRs etc.
*providing advice on governance matters (taking into account regulatory requirements) to ensure that corporate governance arrangements are appropriate and in line with both regulatory best practice and Schroders Group practice
*Overseeing the production of subsidiary annual reports, developing their format and contents to reflect best practice guidelines and changes in statutory and regulatory disclosure requirements.
*Supporting year end process: Related party transactions and Director annual declaration packs, Annual report production, AGM planning.
*Supporting the annual review of Group governance framework.
*Reviewing departmental policies, updating and ensuring that these are followed.
Education and training/qualifications:
*Qualified chartered secretary with a background in a listed company environment.
*Experience in financial services desirable

*highly organised, able to prioritise and to deliver within strict deadlines
*ability to work quickly and accurately under pressure with minimum supervision

*proactive and self-motivated
*collaborative team player
*Knowledge of Pensions including the governance of corporate trustees desirable
*competent computer skills
*experience of Blueprint (statutory register software), Diligent and Worksite an advantage
