The Company Secretariat team sits within the Investments division of the business and provides corporate compliance and governance services to group companies and managed funds. The team look after a variety of companies ranging from listed VCTs, FCA regulated entities, institutional funds, LLPs etc. that invests in renewable energy, healthcare, property, fibre networks and are exposed to a wide range of activities undertaken in these entities.


About the role:

We are looking for an Assistant Company Secretary to work within the Company Secretariat team reporting to the Portfolio lead to assist them in managing a growing portfolio of investment funds. The role will provide a varied exposure to all aspects of a Company's lifecycle, exposure to both internal and external boards and deal/transaction support. The individual will be responsible for looking after the Healthcare group in the portfolio that runs hospitals, care homes and retirement villages, a trading partnership lending business as well as assisting with the renewable energy funds.



Deliverables:

· Statutory compliance

o reviewing annual Report and accounts and reviewing Companies House filings drafted by junior members of the team

o Maintenance of statutory registers on Diligent Entities

· Corporate actions:

o drafting and reviewing the relevant documentation, forms and cover emails for group distributions, allotments and loan drawdowns

o managing the quarterly distribution process for one of the institutional funds

o managing the quarterly investor exit/liquidity process for an EIS fund

· Corporate transactions:

o project manage/co-ordinate M&A transactions/deals within the portfolio from a Company Secretariat perspective, including: liaising with external advisers on the steps plan and structure, reviewing documents prepared by the external lawyers, preparing internal funding paperwork, carrying out post-completion filings and onboarding the new entities.

· Board support (currently 3 boards)

o drafting board meeting agendas

o overseeing the Company Secretarial Assistant/Administrator in preparing and publishing the board packs and managing preparations for board meetings

o minute taking at the board meetings

o writing up post-board meeting follow up actions

o advising the boards on corporate governance matters

· Team tasks

o keeping procedures and precedents up to date and in line with current regulatory requirements

o maintaining the structure charts for the portfolio

· Assisting with ad hoc group restructures, strike offs and projects within the portfolio

· Updating Diligent Entities and the statutory registers with any company changes

· Train and support junior members in the team




QUALIFICATIONS
Knowledge and skills:

Ideally, you'll have some or all of the following qualifications, skills and job-related experience

· Must be ICSA/CGI qualified (at least ACG)

· Experience working in a Company Secretariat team preferably in professional services and/or in a fund/investment firm

· Excellent minute taking skills

· Experience in supporting in corporate transaction/deal work such as M&A's and group restructures

· Proficient in using technology and leveraging digital applications and media platforms such as Microsoft Teams, Zoom, Office 365, board pack software (such as Board Intelligence) and entity management software (such as Diligent)
