Newly created opportunity for an Assistant Company Secretary within this FTSE 250 organisation

The role

To assist the Deputy Company Secretary in all aspects of his role and help to ensure the smooth running of the Secretarial function. The role involves working in a busy corporate head office environment and is a detailed hands-on role.

The team

This role forms an integral part of the Corporate Services Team, supporting the Deputy Company Secretary. The other teams in the office include; the Executive Team and the Legal Department.
Key responsibilities
*Ensure statutory and regulatory requirements are met by the Group's legal entities (listed PLC, UK subsidiaries and overseas subsidiary entities - except US):
oMaintenance of statutory registers and minute books.
oFiling requirements e.g. annual returns, change of details, allotment returns etc.
oAssist in production and filing of annual statutory accounts.
oAssist with the maintenance of the Group structure chart and list of directors and officers.
oAssist with management of overseas company secretarial advisers (incl. Channel Islands, Isle of Man, Canada, The Bahamas, EU, US and Far East).
*Assist with management of all aspects of the Group's share incentive schemes, including proposed all-employee plans (United SIP and United SAYE) covering:
oScheme records are kept up to date and amended as necessary.
oMaintain share register, reconcile to allotments etc.
oManagement of the annual grant & maturity programmes for all executive, shadow and savings based options and LTIP awards.
oManage ABI headroom limits, block listings and Trust share purchase programmes, when applicable.
oPreparation of HMRC share scheme tax returns.
*Subsidiary governance - Supporting Board meetings for all subsidiaries covering agenda and paper preparation and collation, meeting attendance and minutes in support of business activities.
*Assist with other company secretarial activities:
oMaintain data protection registrations.
*Assist with the project management and Company Secretarial input to the Group annual report and accounts and associated filings.
*Assist with aspects of the AGM organisation and preparation.
*Act as main contact for share trust, share registrar and for shareholder enquiries.
*Support Deputy Company Secretary on Board and corporate governance matters:
oAssist in production and distribution of board and committee packs.
oCopying, preparing and reviewing of all papers.
oKeeping on top of legislative and regulatory developments.
*Assist with the making of FSA notifications and announcements.
*Ad hoc assistance with project work:
oAcquisitions and disposals related work.
oCapital raising, consolidation or buy back exercises.
*Provide administrative support to the Deputy Company Secretary on insurance and any risk management activities.

Person Specification
*Recently or near qualified Company Secretary (ACIS), preferably with good experience of working within an overseas group company environment
*Meticulous approach to detail
*A good grasp of corporate governance issues
*Experience of using Blueprint One World preferable
*Ability to build lasting and effective relationships, be seen as a trusted counsellor, and have integrity and a straight forward approach
*Experience of working in a fast-paced, complex business
*Ability to work on own initiative, planning and monitoring progress of workloads and meeting deadlines
*Good commercial skills
*Excellent interpersonal skills
*Organised and able to adapt to an ever-changing environment with conflicting commercial needs
