To assist the Group Company Secretary in the provision provide of core company secretarial support to the Plc and its Board with emphasis on the normal statutory/regulatory and administrative issues associated with multi-national public company as well as the administration of the Group's share plans.
Statutory and regulatory compliance for the Plc and its UK subsidiary companies incorporating Company Law, related legislation, Listing Rule compliance and regulatory announcements
Assistance with Board and Committee meetings, the Company uses the Diligent platform to access board papers and the candidate will act as an administrator and user of the system
Maintenance of Group Corporate databases/structure charts and related liaison with overseas offices as required
Share capital administration, registrars, allotments, dividends etc.
Assistance with corporate governance and corporate risk matters
Group corporate reorganisations and rationalisations
Administration of the Group share plans to incorporate co-ordination of activities undertaken by external administrators, trustees and stockbrokers as well as internal communications and support.
Assistance with preparation of Annual Report and Accounts
Assistance with General Meetings - notices, administration and organisation
Assistant with the administration of the Company's general insurance programme and liaison with the Company's brokers.
Reporting and Relationships:
The Assistant Company Secretary will report to the Group Company Secretary but as part of a head office team can expect some direct interaction with the Group Chief Executive, Group Finance Director and Group People Director as well as their supporting teams. Regular liaison with the Group's UK and overseas operating companies will also be required.
Externally the incumbent will interact with share plan administrators, registrars, stockbrokers, trustees, PR consultants and corporate solicitors.
Candidates should be ICSA qualified with previous experience of company secretarial administration and the operation of share plans in a multi-national public company.
