Job Description

A Hertfordshire based PLC are looking for an Assistant Company Secretary to join a fast-paced environment within an exciting, developing business. Working closely with the legal and governance teams this role is suited to an ambitious candidate that has fantastic communication skills and the ability to build and maintain relationships with senior stakeholders and external advisors.

Key Responsibilities:

*Organise the Annual General Meeting - draft and distribute documentation to shareholders and draft chairman's script, attendance and post-AGM filings.
*Facilitate the smooth operation of the board meetings; formulate agenda, collate and distribute papers in a timely manner, ensuring quality and consistency.
*Corporate Governance - keep up-to-date on legal and practice developments and appraise Company Secretary; assist with development of directors and induction of new directors.
*Coordinate the management of company Share Schemes, working closely with Share Plan Administrators and Human Resources
*Monitor and ensure compliance with the continuing obligations under the UKLA Listing Rules, Disclosure Rules and Transparency Rules and share dealing code; prepare and release routine Stock Exchange announcements; maintain insider lists; make listing applications and file returns.
*Coordinate the preparation, publication and distribution of the PLC company's annual and interim report and accounts; liaison with printer, auditor and all other advisers and internal stakeholders.

Key Skills:

*Fully or part qualified ICSA Chartered Secretary
*Ideally experience within a Plc although, this is not a prerequisite
*Excellent communication and relationship building skills
*Keen eye for detail
*Proactive approach when identifying and acting on the needs of the board and senior management team
*Commitment to knowledge sharing and personal development.
