Job Description

Background and Purpose:
The Purpose of Group Secretariat is to enhance the reputation of the Groupl by providing and promoting effective corporate governance. We shall know if this has been achieved if:

Principal Accountabilities:
1. Shareholder Services
 Annual General Meeting - preparation of notice and project management of event, working with Group Comms.
 Liaising with registrars on any shareholder queries.
 Managing dividend administration and payment with Group Finance.

2. Reporting
 Manage the preparation of the department's input to the full year and half year reports, including liaising with other departments and running an overview timetable.

3. Governance
 Managing the annual review of all Group board, committee and role terms of reference.
 Managing the quarterly Corporate Governance Code update
 Managing compliance with the multiple listings across all elements of the department's work,
including management of systems and policies for the management of inside information.
 Supporting the Deputy Group Secretary by providing day-to-day management of the Department's contribution to Group governance, as documented in the Group's internal governance frameworks.

4. General
 Providing leadership and experience in the team, managing the performance of junior members and adding to know how, training and competencies.
 Attending and minuting meetings for committees.
 Providing any other assistance as required from time to time to ensure departmental as well as team objectives are achieved.

 ICSA qualified.
 Worked within an international, blue chip organisation.
 Strong technical IT skills.
 Ability to interact with people at all levels.
 Personable and approachable manner with strong customer focus.
 Proactive approach, with natural willingness and adaptability to pick up and run with new challenges
 Analytical skills, with the ability to think around an issue, understanding the broader implications, devise a creative solution and proactively take the necessary action
