There is a superb opportunity available for a Company Secretarial Professional at Senior Manager level, who will support the Client Directors in providing company secretarial advisory services to Cosec clients of the business which will be charged on an hourly or fixed fee basis. The individual would work on a portfolio of clients as part of a client delivery team. As part of this, the Senior Manager would be expected to delegate to and manage junior members within the client delivery teams that they work in.
The Cosec function provides corporate governance and company secretarial services to quoted and unquoted companies seeking to operate UK governance standards. The team helps both UK and international companies establish and maintain best practice corporate governance policies and systems. They assist Main Market and AIM companies with their ongoing corporate governance requirements, companies planning to float or perform an IPO and complex private groups.
Core Responsibilities:
The provision of high quality company secretarial services and support to clients including, but not limited to, any of the following:
Listing and post Listing Company Secretarial activity
UK Corporate Governance Code & QCA Corporate Governance Code reviews and advice
Report and Accounts (preparation, design and printing)
Annual Report and Accounts: drafting governance sections, undertaking gap analyses and project management
AGMs and shareholder meetings
Knowledge of UK Market Abuse Regulations, management of insider lists and related communications
Company Law and Stock Exchange regulatory compliance
Board Meeting administration and minuting
Major Shareholder investigations
Company Secretarial mentoring
Managing more junior members of the team in your client delivery team
The role will involve:
Liaising with clients and their advisers and building strong relationships
Leading and delivering a high quality end to end service as part of a client delivery team, adhering to standardised policies, procedures and service standards
Developing and mentoring junior members of the team
The role will also involve working with the Managing Director and other Client Directors to:
Network internally with other business units, within the sector, and with external specialists (lawyers, advisers, accountants)
Develop and maintain knowledge of relevant products and services offered by the Group
Skills, Capabilities and Attributes
Academic & Professional Qualifications
Fully qualified chartered secretary (ACIS/FCIS or equivalent) with at least 7 PQE
Expertise
At least 7 years of company secretarial experience in a listed company
A comprehensive grasp of corporate governance issues
Competencies
High level of attention to detail and accuracy
A well-organised approach to work , with the ability to prioritise work and to work well under pressure
Interpersonal skills and the ability to work well with people at all levels
Excellent reporting skills
Able to demonstrate a proactive and flexible approach
