Well regarded law firm seek to onboard a Head of Company Secretarial to be based either out of their London, Bristol or Cardiff offices

The Role

The team deals with a variety of quality instructions. The work is wide-ranging and will require collaborative working with other UK based teams and further afield. The firm has a client base ranging from SME and owner managed businesses, entrepreneurs, and FTSE companies.

The Company Secretarial & Corporate Support Services Team consists for the time being, Head of Corporate Support Services, reporting to Head of Corporate Partner, and assisted by one Corporate Paralegal. Broadly, it deals with the following for both a portfolio of corporate clients and the plc and all its UK subsidiary entities:

Manages company secretarial records using Diligent Entities software

Provides an annual compliance service

Provides advice and documentation in relation to company secretarial and corporate law and administration matters to company boards

Arranges the incorporation of UK companies and LLPs

Provides specialist company secretarial advice and assistance to lawyers in the firm working on more complex transactions

Provides company secretarial administration training to trainee and newly qualified solicitors.

Company secretarial services:

Providing an annual compliance service, which comprises:

Keeping & maintaining company statutory registers

Providing process agent and registered office facilities and overseeing the forwarding of correspondence received

Corresponding to advise of the approach of any compliance deadlines

Preparing and filing the annual confirmation statements

Advising on miscellaneous routine company secretarial matters

Providing other routine and non-routine advice and assistance to clients, including (but not limited to):

Drafting corporate documents to deal with statutory changes (board appointments and resignations, allotments and transfers of shares, share capital reorganisations, PSC changes etc.)

Advising on and drafting corporate documents to deal with AGMs, changes of name, accounts approvals etc.

Registration of company charges within time limits

Reconstitution of company statutory registers from a variety of sources

Providing assistance with incorporation of UK corporate entities which comprises:

Advising on choice of corporate name, advising on legal rules relating to entity names, checking availability of names

Providing advice relating to appropriate type of entity formation and constitutional considerations

Submission of electronic and paper incorporation applications with Companies House.

Specialist company secretarial matters:

Providing, as part of the wider corporate team, advice and assistance in both client and Group work in the context of transactions and arrangements such as corporate reorganisations, acquisitions and disposals, group expansion, listings and preparing minutes, forms and other corporate documents in relation to this.

Skills/Qualities

Have strong company secretarial experience in a legal or professional services environment and/or have CGI/ICSA qualification

Be familiar with Diligent Entities or a similar company secretarial package for incorporations, statutory company register maintenance and electronic filings;

Be familiar with Companies House services and electronic filing systems

Be able to demonstrate a solid understanding of UK corporate legal and regulatory requirements, in particular relative to statutory filings, documentation drafting and corporate record keeping under The Companies Act 2006 and UK Corporate Governance Code 2018

Person Specification

Commercially focused with a good technical knowledge

Ability to research and advise on the law and apply that research to a relevant matter

Ability to manage time effectively and perform well under time and work pressures

A good team player and able to work collaboratively with colleagues
