As a result of the expansion of the Corporate Secretarial Group, this reputed global law firm is looking for a new person to join the group at associate level on a permanent basis. The successful candidate will assist the group undertaking legal and corporate governance requirements in what would be a broad ranging role, with a high level of involvement, responsibility and visibility to the other members of the offices and clients direct. The key aspects of the role would be assisting with the comprehensive company secretarial service provided to clients (which comprises a mixture of private companies, groups and LLP's) and would include the following duties:

  • Preparation and filing of annual compliance documents;
  • Preparation and filing of documents for ad-hoc requests including (but not limited) to change of officers; change of shareholders; share changes/re-organisations; changes of name; change of registered office; change of accounting year end.
  • Maintaining statutory registers and company books;
  • Formation of new companies; • Assistance with due diligence; and
  • Assistance with re-creation and/or the updating of destroyed or missing statutory registers and company books.
Key skills/capabilities for the role:

The successful candidate would be at least ICSA part-qualified/ICSA finalist with at least three/four years’ company secretarial experience (previous experience within a professional legal practice environment would be beneficial), have a keen eye for detail, excellent communication and organisation skills, able to prioritise and meet deadlines and cope when under pressure.

  • Incorporation of private and public limited companies;
  • Establishment of partnerships;
  • Registration of branches and UK Establishments;
  • Maintaining statutory books and records;
  • Ensuring compliance with annual filing requirements;
  • Preparing director and shareholder meetings, resolutions and minutes; and
  • Preparing director and shareholder changes.
